1. The Service
eBrix is an online, subscription-based software service for managing brick kiln (bhatta) production, sales, labour, purchases and accounts, accessible via ebrix.co.in and the eBrix Android app. BST extends eBrix by direct onboarding or through its partners/resellers.
2. Commencement, Term & Renewal
- Service begins on the date your organisation's eBrix account is activated, and continues for the subscription term agreed at the time of registration (typically 1 year).
- Unless cancelled by either party in writing before the term ends, the subscription auto-renews at BST's then-current license fee.
- Where a customer has started using eBrix before formally signing a written agreement, continued use from the date of activation is treated as acceptance of these standard Terms.
3. Customer Responsibilities
- You will ensure your staff who operate eBrix have basic computer literacy sufficient to use the system.
- You are responsible for keeping your organisation's login credentials confidential and secure. BST is not responsible for losses arising from a shared, weak or compromised password.
- You remain responsible for maintaining your own periodic export/backup of critical business records where your business processes require it, in addition to the backups BST maintains on its hosting infrastructure.
- Subscription/license fees must be paid to BST's designated bank account or online payment gateway only. Non-payment may result in suspension of service until dues (with any applicable reactivation charge) are cleared.
- Your subscription is a license to use eBrix for your own organisation's business. You may not resell, sub-license or rent access to eBrix to a third party.
4. Fees, Taxes & GST
- All eBrix subscription and service charges are billed exclusive of applicable taxes unless stated otherwise, and attract Goods and Services Tax (GST) at 18%, the standard rate applicable to software/SaaS services under Indian law, or such other rate as may be prescribed by the Government of India from time to time.
- All payments are accepted into BST's company bank account or payment gateway only; we do not accept payment into any individual's personal account.
5. Confidentiality & Data Access
Each organisation's data on eBrix is isolated from every other organisation and is treated as confidential. BST support staff do not access a tenant's business data except where necessary to resolve a support issue you have raised, and all BST staff with system access have signed confidentiality/non-disclosure agreements with the company, consistent with BST's company-wide confidentiality practice described in its Terms & Conditions.
6. Intellectual Property
eBrix's source code, design and underlying technology are the intellectual property of Benevolent Software Technologies Private Limited. Your subscription grants you a right to use the application; it does not transfer any ownership, and you may not copy, modify, reverse-engineer, distribute or resell the application or its source code.
7. Branding
Reports, invoices, challans and other documents generated from eBrix may carry a "Powered by eBrix" attribution. Removal of this attribution is available on request as a separately agreed, paid customisation.
8. Compliance with Law
You are solely responsible for ensuring your organisation's use of eBrix, and the business records you keep in it, comply with all applicable laws, including tax, labour and environmental regulations relevant to your business. BST is not responsible for your organisation's compliance obligations.
9. Termination
Either party may terminate the subscription by giving written notice as agreed at the time of registration. On termination, access to the eBrix account will be stopped. If you wish to resume service afterward, a fresh subscription will be required.
10. Risks & Service Availability
- eBrix is hosted on third-party data center infrastructure with redundant internet connectivity. BST is not responsible for outages caused by the hosting provider, your own internet connection, or events outside our reasonable control.
- BST is not responsible for business losses arising from service interruptions, changes in applicable law, or force majeure events (natural disaster, riot, strike, terrorist act, widespread virus outbreak, or similar), provided we notify you of such an event within a reasonable time of it occurring.
11. Governing Law, Jurisdiction & Dispute Resolution
These Terms are governed by the laws of India. Disputes will first be addressed through good-faith negotiation; if unresolved within 30 days, they will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Saharsa, in English, before a sole arbitrator appointed by BST, consistent with BST's company-wide dispute resolution process. Subject to the above, courts at Saharsa, Bihar shall have exclusive jurisdiction.
12. Changes to These Terms
We may revise these Terms from time to time; the "Last updated" date above reflects the latest revision. Continued use of eBrix after a change constitutes acceptance of the revised Terms.
